Terms ofService

These Terms of Service ("Terms") govern use of the kretz.co website and any consulting services provided by Kretz Consulting ("Kretz," "we," "us"). By accessing this site or engaging our services, you agree to these Terms. Consulting engagements are also governed by a separate Statement of Work ("SOW") or Master Services Agreement ("MSA"). In the event of conflict between these Terms and an executed MSA/SOW, the MSA/SOW controls.

1. Services

Kretz Consulting provides strategic consulting in enterprise SEO, technical SEO, local and multi-location SEO, AI search visibility, generative engine optimization (GEO), and related growth advisory services. All engagements are scoped, agreed upon, and documented prior to commencement.

We operate as a senior-led firm. Deliverables are produced by Kretz Consulting principals. We do not warrant specific outcomes including but not limited to search ranking positions, traffic volumes, or revenue performance, as these are subject to third-party algorithm decisions and client-side execution.

2. Eligibility

You must be at least 18 years old and authorized to enter into contracts on behalf of your organization to engage our services. By submitting an inquiry or signing an agreement, you represent that you meet these requirements.

3. Engagement Terms

All paid consulting services require:

  • An executed SOW, MSA, or written agreement specifying scope, timeline, and fees
  • An initial payment or retainer as specified in the agreement before work commences
  • Client cooperation including timely access to accounts, data, and key stakeholders necessary for execution

Failure to provide required access or materials within agreed timelines may delay delivery without constituting a breach on our part.

4. Payment

  • Fees are as outlined in the applicable SOW or MSA
  • Invoices are due within 15/30 days of issuance unless otherwise specified
  • Late payments are subject to a 1.5% monthly finance charge on outstanding balances
  • Work may be paused or terminated for accounts more than 30 days past due
  • Retainers are non-refundable once the service period has commenced

We reserve the right to modify our pricing for future engagements. Pricing for active contracts will not change without written agreement.

5. Intellectual Property

Client-owned deliverables: Upon full payment, clients own all custom deliverables produced under the engagement, including SEO strategies, content briefs, technical audits, and reports created specifically for the client.

Kretz Consulting proprietary materials: We retain ownership of all proprietary frameworks, methodologies, templates, tools, processes, and systems developed independently of any specific client engagement. Use of our proprietary materials is licensed to clients for internal use only and does not transfer ownership.

Client data: Clients retain ownership of all data, accounts, and assets they provide or grant access to. We do not claim any rights to client intellectual property.

6. Confidentiality

Both parties agree to treat as confidential all non-public information received from the other party in connection with an engagement. This includes business strategies, client lists, financial data, technical infrastructure, and trade secrets.

Confidentiality obligations survive termination of the engagement for a period of three (3) years.

We may reference the fact that a company is a client for general business development purposes unless the client requests otherwise in writing. We will not disclose specific engagement details, results, or confidential strategy without written consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Kretz Consulting's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client in the three (3) months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost revenue, or reputational harm
  • We are not responsible for algorithm changes, platform policy updates, or third-party platform decisions that affect client outcomes

Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud.

8. Warranties & Disclaimers

We represent that:

  • We have the authority to enter into agreements and perform services
  • Services will be performed with professional care and in good faith
  • We do not knowingly infringe third-party intellectual property rights

We disclaim all warranties not expressly stated, including implied warranties of merchantability or fitness for a particular purpose. SEO and AI search outcomes depend on factors outside our control and are not guaranteed.

9. Termination

By client: Clients may terminate an ongoing retainer engagement with 30 days written notice. Fees for the notice period and any work already completed are non-refundable.

By Kretz Consulting: We reserve the right to terminate an engagement with 14 days written notice for non-payment, breach of these Terms, or if continuing the engagement would conflict with our professional obligations. In such cases, we will deliver all completed work product up to the termination date.

Project-based engagements end upon delivery of agreed deliverables.
